1. Description and use of our Website: We provide Visitors and Registered Users with access to the Services as described below.
Visitors: Visitors can view public content and contact us. No login is required for Visitors.
Registered Users: In addition to visitor privileges, registered users can purchase and access exclusive content, manage their accounts, post comments, sign up for programs, and receive notifications.
Savaya Ventures is under no obligation to accept any individual as a Registered User and may accept or reject any registration at its sole and complete discretion. In addition, Savaya Ventures may deactivate any account at any time, including, without limitation, if it determines that a Registered User has violated these Terms of Use.
2. Community Guidelines: Savaya Ventures’ community functions best when its users follow a few simple rules. By accessing and/or using the Website, you agree to comply with these community guidelines (the “Community Guidelines”). Users must follow laws, respect copyrights, avoid harmful and hateful speech, and not misuse the website. Any content that violates these guidelines may be removed.
3. Age Restrictions: Our website is for individuals aged 18 and above. If you are 18 or older, but under the age of majority in your jurisdiction, you should review this Agreement with your parent or guardian to make sure that you and your parent or guardian understand it.
4. Account Creation and Security: During registration for Registered Users, you'll be prompted to set up an account. This involves choosing a username ("Username"), a password ("Password"), and possibly additional details to help verify your identity during future log-ins ("Unique Identifiers"). It's essential to provide accurate and up-to-date information when setting up your account. Each Username and its associated Password should be used by only one Registered User. Sharing your login details, especially if others use them to access our exclusive Content, is a significant violation of this Agreement. You hold sole responsibility for maintaining the confidentiality of your Username, Password, and Unique Identifiers and for any actions taken under your account. If there's ever a need to deactivate or change any of these credentials, please notify us immediately. We retain the right to modify or remove your Password, Username, or Unique Identifier at our discretion, and we're not liable for any potential consequences of such changes.
5. Payments: For any purchase on our site, users agree to pay the specified fees. Payments are in EURO, or the currency based on the user's location depending on the user’s credit and/or debit card provider.
6. Intellectual Property: The Website features materials such as videos, coursework, lesson plans, training modules, photographs, software, text, graphics, images, sound recordings, and other materials provided by or on behalf of Savaya Ventures (collectively referred to as the “Content”). This Content might be owned by us or third parties. The Content is safeguarded under both EU and foreign laws. Unauthorized utilization of the Content may infringe copyright, trademark, and other laws.
Visitors are permitted to view all publicly accessible Content for personal, non-commercial purposes. Registered Users who have procured any product or service can download and view any Content within such purchased product or service for personal, non-commercial purposes. Apart from the rights explicitly mentioned in the two preceding sentences, you possess no additional rights to the Content (excluding your own Registered User Content that you upload to the Website). You are prohibited from using the Content in any manner not permitted by this Agreement. Any other usage requires the prior written consent of Savaya Ventures. Savaya Ventures maintains all rights, titles, and interests, including all intellectual property rights, in the Content. It's mandatory to retain all copyright and proprietary notices present in the original Content. The Content must not be sold, transferred, assigned, licensed, sublicensed, modified, displayed, publicly performed, transformed into a derivative, distributed, or used in any manner for public or commercial objectives. Posting or using the Content on other websites, social media platforms, or in networked computer environments is strictly forbidden.
If this Agreement is breached in any manner, your authorization to access and/or use the Content and the Website is immediately revoked, and you must promptly delete any copies of the Content.
The trademarks, service marks, product names, and service names and logos of Savaya Ventures (the “Savaya Ventures Trademarks”) showcased on the Website are either registered or unregistered trademarks or service marks of Savaya Ventures. The Website does not implicitly or otherwise grant any license or right to use the Trademarks without our specific prior written consent for each use. Using the Trademarks in links to or from any website is prohibited unless we provide prior written approval. All goodwill arising from the use of Savaya Ventures Trademarks benefits us.
Website elements are protected by various laws, including trade dress, trademark, unfair competition, and other laws. They must not be replicated or imitated, either wholly or partially. This includes methods such as framing or mirrors. Without our explicit written consent for each instance, the Content must not be retransmitted.
7. Feedback & Submissions: While we appreciate feedback, we don't accept unsolicited ideas or content. Any feedback provided is deemed as non-confidential and not proprietary, and we shall be free to use and redistribute it on an unrestricted basis without compensation or attribution to you.
8. Warranties and Liability: Our website and content are provided "as is" and “as available” basis without any warranties of any kind, including that the website will operate error-free or that the website, its servers, or the content are free from harmful elements.
Any damages, including lost profits or data, resulting from the use or inability to access and use the website or the content of our website or content are not our responsibility. We're not responsible for any damages from using our site.
We're also not responsible for content on external sites linked to/from our website. We reserve the right to make changes, corrections, and/or improvements to our website at any time without notice.
9. Jurisdiction: Our Website is EU-based. We don't guarantee the suitability of our Content outside the EU. If accessing from outside the EU, you do so at your risk and must comply with local laws.
10. Controlling Law: This Agreement and any action related thereto will be governed by the laws of the Czech Republic without regard to its conflict of laws provisions.
11. User Representations & Indemnification: Registered users confirm that their content doesn't violate any rights or laws. Users will defend and indemnify Savaya Ventures against any claims or damages arising from their breach of this agreement.
12. Binding Arbitration: In the event of a dispute arising under or relating to this Agreement, the Content, or the Website (each, a “Dispute”), either party may elect to finally and exclusively resolve the dispute by binding. The Party claiming a Dispute is to provide written notice of such a Dispute to the other Party (“Notice of the Dispute”). If within 20 (twenty) days of such notice, the Dispute remains unresolved, then the Parties can attempt to resolve the Dispute by binding mediation, with the Parties to use reasonable endeavours for such mediation to take place within a further 30 (thirty) days. The mediation will be confidential and held in person in Frankfurt am Main. The language of the mediation will be English. The mediator shall be a Chamber for International Commercial Disputes (Germany).
13. Class Action Waiver: You consent that any arbitration will be strictly between you and us. As allowed by law, (i) arbitrations won't be merged; (ii) class action methods aren't permitted; and (iii) Disputes can't be presented on behalf of the public or other parties.
14. Updates: We may update these terms without notice. Check this page for the latest version.
15. Miscellaneous: Except as expressly agreed by us and you in writing, this Agreement constitutes the entire Agreement between you and us with respect to the subject matter, and supersedes all previous or contemporaneous agreements, whether written or oral, between the parties with respect to the subject matter. The section headings are provided merely for convenience and shall not be given any legal import. This Agreement will inure to the benefit of our successors, assigns, licensees, and sublicensees.
